Introduction and Acceptance

These Terms and Conditions govern your access to and use of Saney, including our website, workspace dashboard, integrations, automation features, and related support services.

By creating an account, accessing the platform, or using any Saney service, you agree to be bound by these Terms and our applicable policies. If you do not agree, you should not use Saney.

Eligibility and Accounts

1. Eligibility

You may use Saney only if you can form a binding agreement on behalf of yourself or the business you represent and if your use complies with applicable laws and platform rules.

2. Account Responsibility

You are responsible for:

Providing accurate registration and workspace information
Maintaining the security of your login credentials
Restricting unauthorized access to your team account
All activity that occurs under your account or workspace

Saney Service Description

Saney provides software tools for Meta-connected businesses to manage customer communication, automate parts of support and sales workflows, and operate storefront and engagement features through connected services.

We may add, remove, or modify features over time. Some features may be in preview, limited release, or available only to selected users or plans.

Acceptable Use

You agree not to use Saney to:

Violate laws, regulations, or third-party rights
Send spam, deceptive messages, or unauthorized marketing communications
Upload malicious code, attempt intrusion, or interfere with system security
Impersonate another person or misrepresent your business relationship
Process unlawful, infringing, abusive, or harmful content
Bypass technical limits, rate limits, payment controls, or access restrictions

We may suspend or restrict access if we reasonably believe your use creates legal, operational, or reputational risk.

Integrations and Third-Party Services

Saney may integrate with third-party services such as Meta platforms, authentication providers, payment providers, analytics tools, storage providers, and AI services.

Your use of those services may also be subject to separate third-party terms and policies. Saney is not responsible for third-party outages, account restrictions, policy changes, or service interruptions outside our control.

Subscriptions and Billing

1. Paid Plans

Some features require an active paid subscription or trial. Pricing, billing cycles, and feature limits are determined by the plan you choose.

2. Payment Obligations

You authorize Saney and our payment providers to charge applicable fees, taxes, and recurring subscription amounts using your selected payment method.

3. Changes and Non-Payment

We may change pricing or plan structure with reasonable notice. If payment fails or remains overdue, we may downgrade, suspend, or terminate access to paid features.

Intellectual Property

Saney and its related software, interface designs, branding, documentation, and service materials remain the property of Saney or its licensors.

You retain ownership of the content, business information, and materials you submit to the platform, but you grant Saney the limited rights necessary to host, process, transmit, and display that content solely to operate and improve the service.

Service Availability and Changes

We work to keep Saney available and reliable, but we do not guarantee uninterrupted, error-free, or always-available service.

Maintenance, upgrades, third-party outages, policy changes, and technical failures may affect service availability. We may also update or retire features where necessary for business, security, or compliance reasons.

Termination and Suspension

You may stop using Saney at any time. We may suspend or terminate your account or access if you breach these Terms, fail to pay required fees, create security risk, or use the service in a way that could harm Saney, its users, or third parties.

On termination, your right to use the service ends immediately, but provisions that reasonably survive termination will remain in effect, including payment obligations, intellectual property, disclaimers, liability limits, and dispute terms.

Disclaimers

Saney is provided on an "as is" and "as available" basis to the fullest extent permitted by law.

We do not guarantee that automated responses, AI outputs, analytics, or workflow suggestions will always be accurate, complete, lawful, or fit for your business purpose. You remain responsible for reviewing how you use the platform in customer, compliance, and business contexts.

Limitation of Liability and Indemnity

1. Limitation of Liability

To the maximum extent permitted by law, Saney will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunities, or data arising from your use of the service.

2. Indemnity

You agree to defend, indemnify, and hold harmless Saney and its affiliates from claims, losses, liabilities, and expenses arising from your content, your use of the service, your violation of these Terms, or your breach of third-party rights.

Governing Law and Disputes

These Terms are governed by the laws of Nepal, without regard to conflict of law principles.

Before starting formal legal action, both parties agree to first attempt to resolve disputes in good faith through written notice and direct discussion. If a dispute cannot be resolved informally, the courts located in Nepal will have exclusive jurisdiction, unless applicable law requires otherwise.
